01제1조목적Article 1Purpose

이 계약은 SOA가 작가의 작품을 SOA 제품에 복제하고 그 제품을 홍보할 수 있는 조건과, SOA가 작가에게 지급하는 금액을 정하는 것을 목적으로 합니다.This agreement sets out the terms on which SOA may reproduce the Artist's artwork on SOA products and promote those products, and the payments SOA makes to the Artist.

02제2조정의Article 2Definitions

1. “작품”이란 별지 A에 적힌 각 작품과, 작가가 제품용으로 승인한 그 작품의 변형본을 말합니다.“Artwork” means each work listed in Schedule A, including any version of it that the Artist approves for a product.
2. “허락 제품”이란 별지 A에 작품별로 적힌 제품을 말합니다.“Licensed Product” means a product listed for an Artwork in Schedule A.
3. “순매출”이란 SOA가 허락 제품에 대해 할인 후 실제로 받은 금액에서 부가가치세와 배송비를 빼고, 반품되거나 취소된 주문의 환불액을 뺀 금액을 말합니다. 여러 제품을 묶어 판매한 경우에는 각 제품의 정가 비율로 나누고, 다른 매장을 통해 판매한 경우에는 그 매장이 SOA에 지급한 금액을 기준으로 합니다.“Net Sales” means the money SOA actually receives for Licensed Products after any discount, not counting value-added tax (VAT) or shipping charges, minus refunds for returned or cancelled orders. For products sold together as a set, the amount is divided by each item's share of the list prices. For products sold through another shop, it is the amount that shop pays SOA.
4. “분기”란 3월 31일, 6월 30일, 9월 30일, 12월 31일에 끝나는 각 3개월 기간을 말합니다.“Quarter” means each three-month period ending on 31 March, 30 June, 30 September and 31 December.
5. “미성년자”란 만 19세 미만이거나, 작가의 국적국 법에 따라 미성년자인 작가를 말합니다.“Minor” means an Artist who is under 19, or who is a minor under the law of the country of which the Artist is a national.
6. “보호자”란 미성년자인 작가의 부모 또는 그 밖의 법정대리인을 말합니다.“Guardian” means a Minor Artist's parents or other legal representatives.

03제3조저작권은 작가에게 있습니다Article 3Copyright stays with the Artist

1. 작가는 모든 작품에 대한 저작재산권과 저작인격권을 그대로 가집니다. 이 계약의 어떤 내용도 작품이나 그 원본 실물의 소유권을 SOA에 넘기지 않습니다.The Artist keeps the copyright and all moral rights in every Artwork. Nothing in this agreement transfers ownership of an Artwork, or of the physical original, to SOA.
2. SOA는 스캔본이나 사진으로 작업합니다. 작가가 원본 실물을 빌려준 경우 SOA는 이를 안전하게 보관하고 14일 이내에 돌려줍니다.SOA works from a scan or a photograph. If the Artist lends SOA a physical original, SOA keeps it safe and returns it within 14 days.
3. 작가는 다른 제품을 포함하여 어디에서든 자유롭게 작품을 전시하고, 판매하고, 이용을 허락할 수 있습니다.The Artist remains free to show, sell and license the Artworks anywhere else, including on other products.

04제4조SOA에 대한 이용 허락Article 4What SOA may do

1. 이 계약 기간 동안 작가는 SOA에 다음을 할 수 있는 비독점적 이용을 허락합니다. (가) 각 작품을 해당 허락 제품에 복제하고, 제5조에 따라 작가가 승인한 범위에서만 자르기, 크기 조정, 색상 변경, 배치로 제품에 맞게 변형하는 것 (나) 그 제품을 SOA 웹사이트, 인스타그램, 팝업 스토어 및 별지 A에 적힌 다른 매장을 통해 판매하는 것 (다) 작품과 허락 제품의 이미지를 해당 제품의 홍보에 사용하는 것While this agreement lasts, the Artist gives SOA non-exclusive permission to: (a) reproduce each Artwork on its Licensed Products and, only as the Artist approved under Article 5, adapt it for them by cropping, resizing, recolouring and placing it; (b) sell those products on SOA's website, on Instagram, at pop-up stores and through any other shop named in Schedule A; and (c) use images of the Artworks and the Licensed Products to promote those products.
2. 아직 공표되지 않은 작품의 경우, 작가는 SOA가 승인된 허락 제품과 그 홍보를 통해 작품을 처음 공표하는 데 동의합니다.If an Artwork has not been published before, the Artist agrees to SOA making it public for the first time on its approved Licensed Products and in their promotion.
3. SOA는 작가의 사전 서면 동의 없이 작품을 다른 제품이나 다른 목적에 사용하거나, 이 허락을 다른 사람에게 넘기거나, 다른 사람이 작품을 사용하게 할 수 없습니다. 다만 SOA는 제조업체와 인쇄업체에 허락 제품의 제작을 맡길 수 있습니다.Without the Artist's prior written consent, SOA may not use an Artwork on any other product or for any other purpose, pass this permission on, or let anyone else use an Artwork. SOA may have manufacturers and printers make Licensed Products for SOA.
4. SOA가 제품에 더한 SOA 로고, 라벨, 레이아웃 등은 SOA의 것이며, 작품은 승인된 모든 변형본을 포함하여 작가의 것입니다. SOA가 만든 제품 사진과 목업은 SOA의 것이며, SOA는 이를 이 조에서 허락한 범위에서만 사용합니다. 작가는 SOA를 표시하고 이를 자신의 포트폴리오에 사용할 수 있습니다.SOA's own additions to a product, such as SOA's logo, labels and layout, belong to SOA; the Artwork, in every approved version, stays the Artist's. Product photographs and mock-ups that SOA makes belong to SOA, and SOA uses them only as this article allows. The Artist may use them in the Artist's own portfolio, with credit to SOA.

05제5조작가의 승인Article 5The Artist approves first

1. SOA는 허락 제품을 판매용으로 공개하거나, 예약 판매하거나, 판매용으로 제작하기 전에 자르기, 크기 조정, 색상 변경, 배치를 포함한 최종 디자인을 작가에게 보여 줍니다. SOA는 작가가 서면으로 승인한 뒤에만 진행합니다. 이메일과 문자 메시지도 서면으로 봅니다.Before a Licensed Product is shown for sale, offered for pre-order or made for sale, SOA shows the Artist the final design, including any cropping, resizing, colour change and placement. SOA goes ahead only after the Artist approves it in writing. Email and text messages count as writing.
2. 작가가 미성년자인 경우 보호자의 승인도 함께 받아야 하며, SOA는 이 계약에 관한 모든 연락을 보호자에게도 보냅니다. SOA는 미성년자인 작가에게 보호자를 빼고 개인 메시지로만 연락하지 않습니다.If the Artist is a Minor, the approval must also come from a Guardian, and SOA sends every message about this agreement to a Guardian as well. SOA never contacts a Minor Artist by direct message alone.
3. 승인받은 디자인을 바꾸지 않고 다시 제작할 때에는 새로 승인받지 않아도 됩니다. SOA는 서면 승인 없이 작품을 그 밖의 방식으로 바꾸지 않습니다.An unchanged reprint of an approved design needs no new approval. SOA does not change an Artwork in any other way without written approval.

06제6조작가 표시Article 6Credit

SOA는 각 허락 제품의 웹페이지와 SOA 웹사이트의 작가 페이지에, 그리고 가능한 경우 제품 라벨이나 태그에 작가의 이름 또는 작가가 정한 활동명을 표시합니다.SOA credits the Artist by name, or by the artist name the Artist chooses, on each Licensed Product's web page, on the Artist's page on SOA's website and, where practical, on product labels or tags.

07제7조계약금Article 7Signing fee

1. SOA는 모든 당사자가 이 계약서에 서명한 날부터 14일 이내에 작가에게 계약금 100,000원(일십만 원)을 지급합니다. 계약금은 이 계약에 대해 한 번 지급하며, 제15조에 따라 나중에 추가하는 작품도 추가 합의서에 따로 정하지 않으면 여기에 포함됩니다.SOA pays the Artist a signing fee of ₩100,000 (one hundred thousand won) within 14 days after everyone has signed this agreement. It is paid once for this agreement, including any Artwork added later under Article 15, unless that addendum says otherwise.
2. 계약금은 작가가 갖습니다. 계약금은 선급금이 아니므로 저작권료에서 빼지 않으며, 제품이 전혀 팔리지 않더라도 돌려주지 않습니다.The signing fee is the Artist's to keep. It is not an advance: it is not deducted from royalties and is never repaid, even if nothing sells.

08제8조저작권료Article 8Royalty

1. SOA는 모든 허락 제품 순매출의 5%를 작가에게 저작권료로 지급합니다.SOA pays the Artist a royalty of 5% of the Net Sales of every Licensed Product.
2. 예를 들어 부가가치세를 포함해 55,000원에 판매된 후디의 순매출은 50,000원이므로, 그에 대한 저작권료는 2,500원입니다.For example, a hoodie sold for ₩55,000 including VAT has Net Sales of ₩50,000, so the royalty on it is ₩2,500.
3. 한 제품에 작가의 작품이 여러 점 들어가더라도 저작권료는 5% 한 번입니다. 한 제품에 여러 작가의 작품이 들어간 경우, 판매 전에 별지 A에 다른 비율을 정하지 않았다면 5%를 작가들이 똑같이 나눕니다.A product carrying several of the Artist's Artworks earns one 5%. If a product carries work by more than one artist, the 5% is shared equally between them, unless Schedule A sets a different split agreed before sale.
4. 샘플이나 경품처럼 무료로 제공한 제품은 받은 금액이 없으므로 저작권료가 생기지 않으며, 정산서에 따로 적습니다. 예약 판매는 제품을 발송한 때에 판매된 것으로 봅니다.Products given away free, such as samples or prizes, earn no royalty because nothing is paid for them; they are listed on the statement. Pre-orders count as sales when they are shipped.

09제9조정산과 지급Article 9Statements and payment

1. SOA는 각 분기가 끝난 날부터 30일 이내에 작가와 보호자에게 이메일로 정산서를 보냅니다. 정산서에는 허락 제품별 제작 수량, 판매 수량, 반품 수량, 무료 제공 수량, 남은 재고, 순매출과 저작권료를 적습니다. 판매가 없어도 정산서를 보냅니다.Within 30 days after each Quarter, SOA emails the Artist, and any Guardian, a statement showing for each Licensed Product the units made, sold, returned, given away and still on hand, the Net Sales and the royalty. A statement is sent even when nothing sold.
2. SOA는 정산서와 함께 별지 B의 계좌로 저작권료를 지급합니다. 한 분기의 저작권료가 10,000원 미만이면 다음 분기로 넘길 수 있지만, 적어도 1년에 한 번(12월 31일에 끝나는 분기의 정산 때)과 계약이 끝날 때에는 쌓인 금액을 모두 지급합니다. 송금 수수료는 SOA가 부담합니다.SOA pays the royalty with the statement into the account in Schedule B. If a Quarter's royalty is under ₩10,000, SOA may carry it to the next Quarter, but pays everything owed at least once a year, with the statement for the Quarter ending 31 December, and when the agreement ends. SOA pays any transfer fees.
3. SOA는 대한민국 법이 정한 세금만 원천징수하며, 세금은 작가가 어디에 사는지에 따라 달라질 수 있습니다. 원천징수한 내용은 정산서에 적습니다. 작가는 별지 B에 세법상 거주 국가를 적습니다.SOA withholds only the tax that Korean law requires, which depends on where the Artist lives, and shows it on the statement. The Artist writes in Schedule B the country where the Artist lives for tax purposes.
4. 작가나 보호자는 1년에 한 번 정산서의 근거가 되는 판매 기록을 보여 달라고 요청할 수 있으며, SOA는 14일 이내에 보여 줍니다.Once a year, the Artist or a Guardian may ask to see the sales records behind a statement. SOA shows them within 14 days.

10제10조계약 기간Article 10How long it lasts

이 계약은 모든 당사자가 서명한 날부터 1년 동안 유효하며, 제11조에 따라 끝내지 않으면 1년씩 자동으로 연장됩니다. SOA는 연장되기 최소 60일 전마다 작가와 보호자에게, 종료를 알리지 않으면 계약이 연장된다는 내용을 이메일로 따로 알립니다.This agreement starts on the day everyone has signed it and lasts one year. It renews automatically for one year at a time unless it is ended under Article 11. At least 60 days before each renewal, SOA emails the Artist, and any Guardian, a separate notice saying that the agreement will renew unless they end it.

11제11조계약의 종료Article 11Ending the agreement

1. 작가, 보호자 또는 SOA는 이유와 관계없이 30일 전에 다른 당사자에게 서면으로 알리고 이 계약을 끝낼 수 있습니다.The Artist, a Guardian or SOA may end this agreement for any reason by giving the others 30 days' written notice.
2. 작가나 보호자는 SOA가 아직 인쇄업체나 제조업체에 제작을 주문하지 않은 작품에 대해서는 언제든지 서면으로 알려 이용 허락을 철회할 수 있습니다.At any time, the Artist or a Guardian may withdraw permission, by written notice, for an Artwork that SOA has not yet ordered from a printer or manufacturer.
3. SOA가 영업을 그만두거나 12개월 동안 계속하여 허락 제품을 하나도 판매하지 않으면 이 계약은 자동으로 끝납니다.The agreement ends automatically if SOA stops trading, or if SOA offers no Licensed Product for sale for 12 months in a row.
4. 계약이 끝나면 (가) SOA는 허락 제품 제작을 즉시 멈춥니다. (나) SOA는 이미 만든 제품을 6개월 동안 판매하고 그 판매에만 제품 이미지를 사용할 수 있으며, 그에 대한 저작권료를 지급합니다. 다만 SOA가 지급하지 않아 계약이 끝난 경우에는 판매할 수 없습니다. (다) SOA는 그 판매가 끝난 날(판매하지 않는 경우에는 계약이 끝난 날)부터 30일 이내에 판매 게시물과 홍보를 내리고, 남은 제품은 제작 원가로 작가에게 먼저 제안하며, 나머지는 폐기하거나 작가가 동의하면 기부한 뒤 그 수량을 알립니다. (라) 그다음 SOA는 최종 정산서를 보내고 남은 금액을 모두 지급합니다.When the agreement ends: (a) SOA stops making Licensed Products at once; (b) SOA may sell products already made for up to 6 months, and use their product images only for that, paying the royalty on them, unless the agreement ended because SOA did not pay; (c) within 30 days after those sales end, or after the agreement ends if there are none, SOA takes down its listings and promotion, offers any products left to the Artist at production cost, and destroys or, with the Artist's agreement, donates the rest and reports how many; (d) SOA then sends a final statement and pays everything owed.
5. 이미 발생한 지급 의무는 계약이 끝나도 그대로 남습니다.Anything SOA already owes stays payable after the agreement ends.

12제12조이름, 사진, 프로필Article 12Name, photographs and profile

1. SOA는 작가의 이름, 사진, 소개글, 작가의 말, 학교 정보, 인터뷰를 작가가 승인한 범위에서만 사용하며, 미성년자인 작가의 경우 보호자가 「SOA 보호자 동의서」에서 선택한 범위에서만 사용합니다.SOA uses the Artist's name, photographs, biography, statement, school information and interviews only as the Artist approves and, for a Minor Artist, only as a Guardian chose in the SOA Parent or Guardian Consent.
2. SOA는 작가의 학교, 사진, 연락처를 제품, 태그, 포장에 인쇄하지 않으며, 작가의 연락처를 고객에게 알려 주지 않습니다.SOA never prints an Artist's school, photograph or contact details on products, tags or packaging, and never gives an Artist's contact details to customers.
3. 승인은 언제든지 철회할 수 있습니다. 이 경우 SOA는 7일 이내에 웹사이트와 SOA가 운영하는 SNS 계정에서 해당 정보를 삭제합니다.Approval can be withdrawn at any time. SOA then removes the item from its website and its own social media accounts within 7 days.

13제13조미성년자인 작가Article 13Minor artists

1. 작가가 미성년자인 경우 이 계약에는 작가의 법정대리인의 동의가 필요합니다(「민법」 제5조). 부모가 모두 서명하며, 가족관계증명서, 기본증명서 또는 법원의 결정 등 공적 서류로 한 사람만 친권자임이 확인되는 경우에는 그 서류를 이 계약서에 첨부하고 그 사람이 서명합니다. 보호자는 「SOA 보호자 동의서」에도 서명합니다.If the Artist is a Minor, this agreement needs the consent of the Artist's legal representatives (Civil Act, Article 5). Both parents sign, unless an official document attached to this agreement, such as a family relation certificate (가족관계증명서), a basic certificate (기본증명서) or a court order, shows that one Guardian alone holds parental authority. The Guardians also sign the SOA Parent or Guardian Consent.
2. 작가가 성년이 될 때까지 이 계약에 따른 모든 승인, 작품 추가, 변경에는 작가와 함께 보호자의 동의가 필요합니다.Until the Artist comes of age, every approval, added Artwork and change under this agreement needs a Guardian's agreement as well as the Artist's.
3. 대금은 작가 명의의 계좌로 지급합니다. 보호자는 별지 B에 그 돈을 작가를 위해 보관한다는 내용에 서명하고, 대신 보호자 본인의 계좌를 지정할 수 있습니다. 작가가 성년이 되면 이후의 지급을 작가 본인 명의 계좌로 바꿔 달라고 요청할 수 있습니다.Payments go to an account in the Artist's name. A Guardian may instead name the Guardian's own account in Schedule B by signing there that the money is held for the Artist. When the Artist comes of age, the Artist may ask for later payments to go to the Artist's own account.

14제14조개인정보Article 14Personal information

1. SOA는 이 계약서와 별지 B의 개인정보(이름, 생년월일, 국적, 주소, 연락처, 계좌 정보, 세법상 거주 국가)를 이 계약의 이행에 필요하므로(「개인정보 보호법」 제15조 제1항 제4호) 처리하며, 이 계약의 이행, 대금 지급, 법령상 기록 보관을 위해서만 사용합니다.SOA uses the personal information in this agreement and in Schedule B (names, date of birth, nationality, address, contact details, bank account and country of tax residence) because it is needed to carry out this agreement (Personal Information Protection Act, Article 15(1)(4)), and only to carry out this agreement, make payments and keep the records the law requires.
2. 법에 따라 지급액에 대한 세금을 원천징수하거나 지급명세서를 제출해야 하는 경우, SOA는 「소득세법」에 따라 그 신고만을 위해 작가의 주민등록번호(또는 외국인등록번호)를 추가로 수집합니다(「개인정보 보호법」 제24조의2). 이때 SOA는 작가에게 서면으로 알리고, 그 번호를 암호화하여 보관합니다.If the law requires SOA to withhold tax on a payment or to file a payment statement, SOA also collects the Artist's resident registration number, or foreign registration number, for that filing alone, as the Income Tax Act allows (Personal Information Protection Act, Article 24-2). SOA tells the Artist in writing when it does, and keeps the number encrypted.
3. SOA는 지급 및 세무 기록을 「국세기본법」 제85조의3에 따라 법정신고기한부터 5년 동안, 연락처는 계약이 끝날 때까지, 공개된 프로필 항목은 승인을 철회하거나 계약이 끝날 때까지 보관한 뒤 파기합니다.SOA keeps payment and tax records for 5 years from the tax filing deadline, as the Framework Act on National Taxes requires (Article 85-3); contact details until the agreement ends; and published profile items until approval is withdrawn or the agreement ends. It then destroys them.
4. SOA는 이메일과 정산서를 Google의 Gmail(미국)로 보냅니다. 제12조에 따라 선택한 프로필 항목은 Vercel(미국)이 호스팅하는 SOA 웹사이트와 Meta(미국)가 운영하는 인스타그램에 게시됩니다.SOA sends emails and statements through Google's Gmail (United States). Profile items chosen under Article 12 are published on SOA's website, hosted by Vercel (United States), and on Instagram, run by Meta (United States).

15제15조작품 추가Article 15Adding artworks

작품을 추가하려면 작가, 작가가 미성년자인 경우 보호자, 그리고 SOA가 번호를 매긴 한 장짜리 별지 A 추가 합의서에 서명합니다. 그러면 이 계약의 다른 모든 내용이 그 작품에도 적용됩니다.To add an Artwork, the Artist, a Guardian if the Artist is a Minor, and SOA sign a numbered one-page addendum to Schedule A. Everything else in this agreement then applies to that Artwork.

16제16조당사자의 약속Article 16What each side promises

1. 작가는 각 작품이 자신의 독창적인 창작물임을 확인합니다. 작품이 다른 사람의 작품, 캐릭터 또는 로고를 바탕으로 한 경우에는 서명하기 전에 SOA에 알립니다. 작가가 고의로 다른 사람의 작품을 베낀 경우가 아니라면, 작가의 책임은 이 계약에 따라 받은 금액을 넘지 않습니다.The Artist confirms that each Artwork is the Artist's own original work. If an Artwork is based on someone else's work, character or logo, the Artist tells SOA before signing. Unless the Artist copied someone else's work on purpose, the Artist is never liable for more than the money received under this agreement.
2. SOA는 허락 제품을 법에 맞게 제작하고 판매하며, 제품 품질, 고객 응대, 반품, 판매에 따른 세금을 책임집니다. 또한 작가의 명예를 해치는 방식으로 작품을 사용하지 않습니다.SOA makes and sells Licensed Products lawfully; is responsible for product quality, customer service, returns and the taxes on its sales; and does not use an Artwork in a way that harms the Artist's reputation.

17제17조일반 사항Article 17General

1. 이 계약의 변경은 서면으로 하며, 이 계약에 서명한 모든 사람이 서명해야 합니다.Any change to this agreement must be in writing and signed by everyone who signed it.
2. 이 계약서는 한국어와 영어로 작성하며, 두 언어본은 같은 효력을 가집니다. 두 내용이 달라 보이는 경우에는 작가에게 더 유리한 뜻에 따릅니다.This agreement is made in Korean and English, and both versions have equal force. If they seem to differ, the meaning more favourable to the Artist applies.
3. 이 계약은 대한민국 법률을 따릅니다. 당사자는 의견이 다를 때 먼저 성실하게 협의하며, 협의가 되지 않으면 「민사소송법」에 따른 관할 법원에서 해결합니다.This agreement is governed by the laws of the Republic of Korea. The parties first try to settle any disagreement by talking in good faith; if they cannot, it is decided by the court that has jurisdiction under the Civil Procedure Act.
4. SOA와 작가는 서명한 원본을 각각 한 부씩 보관합니다.SOA and the Artist each keep one signed original.
